All Proposals Approved at the Temenos 2020 Annual General Meeting
GENEVA, Switzerland – May 20, 2020 – Temenos (SIX: TEMN), the banking software company, today held its 19th Annual General Meeting (AGM) without shareholders attendance due to the ongoing COVID-19 pandemic. 52,136,370 shares were represented by the independent proxy holder.

In particular, the shareholders elected by a large majority both Dr Homaira Akbari and Mr. Maurizio Carli as new independent/non-executive members of the Board of Directors as well as new members of the Compensation Committee.
For the 9th consecutive year shareholders approved a dividend increase to CHF 0.85 per share (half from retained earnings, subject to Swiss withholding tax, and half out of the reserve from capital contribution, free from Swiss withholding tax) in respect of the year ending on 31 December 2019. It constitutes a reflection of the growing maturity of the company and the strength of its cash flow.
The shareholders approved also the 2019 financial statements as well as the 2021 compensation for the Board of Directors and separately for the Executive Committee.
Finally, shareholders re-elected all the members of the Board of Directors, including its Chairman, standing for re-election. The independent proxy holder as well as the auditors were also re-elected.
